1. Acceptance of Terms

By accessing or using InsitePilot ("the Service"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use the Service. These terms apply to all users, including business clients, their customers, and leads who interact with the platform through forms, SMS, WhatsApp, or other communication channels.

2. Description of Service

InsitePilot is a customer relationship management (CRM) platform designed for marketing agencies. The Service includes lead management, client management, appointment scheduling, email campaigns, SMS messaging, WhatsApp messaging, AI chatbot functionality, and related business tools. The Service is provided on an "as-is" and "as-available" basis.

3. User Accounts

When you create an account with InsitePilot, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your password and account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these terms or engage in unauthorized activities.

4. SMS and WhatsApp Messaging Terms

By providing your phone number through our lead capture forms or to businesses using InsitePilot, you consent to receive communications via SMS and/or WhatsApp. The following terms apply:

• Consent: You agree to receive transactional and marketing messages from businesses using our platform
• Message Frequency: Message frequency varies based on your interactions with the business
• Costs: Standard message and data rates may apply. InsitePilot is not responsible for any charges from your mobile carrier
• Opt-Out: You may opt out of SMS messages at any time by replying STOP to any message. For WhatsApp, you may block the business number or reply STOP
• Help: For assistance, reply HELP to any message or contact us at [email protected]

Supported carriers include but are not limited to: AT&T, T-Mobile, Verizon, Sprint, and other major US carriers.

5. Acceptable Use

You agree not to use the Service to:

• Send unsolicited messages (spam) to individuals who have not provided consent
• Violate any applicable laws, regulations, or industry guidelines (including TCPA, CAN-SPAM, and CTIA guidelines)
• Transmit harmful, abusive, threatening, or misleading content
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to gain unauthorized access to the Service or related systems
• Send messages containing content related to illegal activities

6. Data and Content Ownership

You retain ownership of all data and content you submit to the Service, including lead information, contact details, and message content. By using the Service, you grant InsitePilot a limited license to process, store, and transmit your data as necessary to provide the Service.

InsitePilot does not claim ownership of your business data. You are responsible for ensuring that your use of the Service and the data you process complies with all applicable privacy laws and regulations.

7. Third-Party Services

The Service integrates with third-party providers including but not limited to Twilio (for SMS and WhatsApp messaging), Amazon Web Services (for email delivery), and other service providers. Your use of these integrations is subject to the respective third-party terms of service. InsitePilot is not responsible for the availability, accuracy, or reliability of third-party services.

8. Payment and Fees

Certain features of the Service may require payment. You agree to pay all applicable fees as described at the time of purchase. Messaging costs (SMS, WhatsApp) are billed through your Twilio account and are subject to Twilio's pricing. InsitePilot is not responsible for third-party service charges.

9. Limitation of Liability

To the maximum extent permitted by law, InsitePilot and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service. Our total liability for any claim arising from these terms shall not exceed the amount you have paid to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless InsitePilot, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these terms, or your violation of any rights of a third party.

11. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice. We shall not be liable for any modification, suspension, or discontinuation of the Service.

12. Termination

Either party may terminate the use of the Service at any time. We reserve the right to suspend or terminate your account if you violate these terms. Upon termination, your right to use the Service ceases immediately. We may retain your data for a reasonable period as required by law or legitimate business purposes.

13. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved in the courts located in Santa Clara County, California.

14. Changes to These Terms

We reserve the right to update these Terms and Conditions at any time. We will notify you of material changes by posting the updated terms on this page and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the revised terms.
